Euan is a highly experienced corporate & commercial Partner, having been with Sills & Betteridge since 2009.
He has a significant breadth of experience handling mergers, acquisitions and all kinds of business sales and purchases. These range across a large number of different industry sectors, but include particular experience and expertise in transactions involving professional businesses (such as financial advisors and accountants) and those in the manufacturing, engineering and design sectors. Euan is the firm's in-house expert in respect of sales to and purchases from Employee Ownership Trusts (EOTs), and has set up a number of EOTs over recent years.
Euan regularly works in tandem with our Private Client team with regards to family and non-family business succession planning, whether it be in the form of management buyouts (MBOs), trade sales, gifts or otherwise. The key is collaborative working to ensure that the needs of both the business and the individuals behind it, are the focus of our holistic legal and commercial advice.
Alongside his transactional corporate work, Euan also specialises in complex contractual arrangements. This began when Euan spent circa 5 years seconded to the in-house legal team at Siemens PLC, which gave Euan an invaluable insight into high-value and complex international negotiations and agreements. Euan typically works on agreements such as:
- Shareholders' and Partnership Agreements;
- Distribution, Agency and Franchise Agreements;
- Joint Venture Agreements (including Shareholders' Agreements in respect of corporate joint venture arrangements).
As an addition to such contractual advice, Euan also advises clients in respect of contractual disputes, particularly shareholder disputes. Euan works with our Commercial Litigation team to ensure that clients receive joined-up advice both on their legal rights and negotiation strategy, but also the procedural requirements around pre-litigation correspondence and litigation itself.
